Terms that apply to the commercial freight transportation and logistics services of JLM LOGISTICS Inc..

These Terms of Service ("Terms") apply to your use of jlmlogisticsinc.com and to commercial freight transportation and logistics services provided by JLM LOGISTICS Inc. ("JLM LOGISTICS," "we," "us") to commercial customers ("Customer," "you"). By requesting or accepting our services, you agree to these Terms, together with any written service agreement, quote, or booking confirmation between us. If a signed service agreement conflicts with these Terms, the signed agreement controls.
1. Services
We provide commercial freight transportation and logistics services, which may include intermodal container drayage, truckload transportation, transloading, import and export freight handling, overweight cargo transportation, and related logistics coordination. Services are provided only for commercial customers and only as confirmed by us for a specific shipment.
2. Quotes and Estimates
Quotes and estimates are based on the information you give us and are not a guarantee of service or availability. A quote may be changed or withdrawn if information is incomplete or inaccurate, if the scope changes, or if conditions change. A request submitted through this website is an inquiry only and does not create a service agreement until we confirm the shipment.
3. Shipment Information Provided by Customer
You are responsible for the accuracy and completeness of all shipment information you provide, including pickup and delivery locations, contact details, commodity description, piece count, weight, dimensions, container or booking numbers, and any handling requirements. Inaccurate or incomplete information may result in delay, additional charges, or inability to perform the service.
4. Service Agreements
Ongoing or special arrangements may be documented in a separate written service agreement, rate confirmation, or booking confirmation. Those documents govern the specific services they describe.
5. Payment and Invoicing
Services are generally billed by invoice. Payment is due according to the terms stated on the invoice or in your service agreement. Where applicable, we may require a deposit or advance payment before scheduling or performing a service, and any such requirement will be communicated in the quote or confirmation. Late payments may be subject to charges as stated in your agreement or invoice, to the extent permitted by law.
6. Changes to Shipment Scope
If a shipment changes after a quote or booking, including changes to locations, timing, freight, weight, equipment, or services, we may adjust the price and schedule. Additional services, waiting time, storage, or handling that were not part of the original request may be charged as stated in the applicable quote, agreement, or invoice.
7. Pickup and Delivery Requirements
You are responsible for making freight ready for pickup and ensuring the delivery location is able to receive it. This includes providing accurate appointment information, site access, and any required release, gate, or reference information. Failure to have freight or locations ready may result in delay and additional charges.
8. Customer Responsibilities
Customer is responsible for lawful shipping of its freight, proper packaging, securing and describing its cargo, providing required paperwork, and having authority to tender the freight. Customer will not tender freight that is unlawful, misdescribed, or that it has no right to ship.
9. Overweight and Special Cargo
Overweight, oversized, or otherwise special cargo may require specific equipment, permits, routing, scheduling, or additional charges. You must disclose full weight and load details before we quote and before pickup. We may decline or reschedule a move if the cargo differs from what was disclosed or if legal or safety requirements cannot be met.
10. Scheduling and Delays
Pickup and delivery times are estimates unless expressly confirmed in writing. Delays can result from terminal or port conditions, weather, traffic, equipment availability, facility wait times, customs or documentation holds, government action, and other causes outside our control. We are not liable for delay-related losses caused by such events, and we will communicate about delays as reasonably practicable.
11. Import and Export Documentation
Where a shipment involves import or export freight, the Customer, or its designated customs broker or freight forwarder, is responsible for customs clearance, duties, taxes, permits, releases, and required documentation, unless we have agreed otherwise in writing. Holds, inspections, or documentation errors may cause delay and additional charges.
12. Transloading and Freight Handling
Transloading and freight handling are performed based on the instructions and information you provide. You are responsible for accurate cargo descriptions, packaging, and handling instructions, and for advising us of any hazardous, fragile, temperature-sensitive, or otherwise special freight before services begin. Loss or damage claims must be reported promptly in writing with supporting documentation, including any exception noted at delivery.
13. Limitation of Liability
To the fullest extent permitted by law, our liability arising from services is limited to direct damages proven to have been caused by our negligence and will not exceed the amount stated in the applicable service agreement or, if none, the amount permitted by applicable law. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost sales, or business interruption. Nothing in these Terms limits liability that cannot be limited by law.
14. Website Use
This website is provided for general information and to submit inquiries. Information on the website is not a guarantee of services or pricing. You agree not to misuse the site or submit unlawful or misleading content.
15. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising from these Terms or our services will be brought in the state or federal courts located in Texas, unless a signed agreement states otherwise.
16. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date above shows when they were last revised. Continued use of our services after an update means you accept the updated Terms.
